Terms of Use — Trixon Tech Private Limited

Welcome to the Trixon Tech Private Limited (“Trixon Tech,” “we,” “us,” or “our”) website (the “Site”). These Terms of Use (“Terms”) govern your access to and use of the Site, including browsing our services, purchasing our products, and interacting with any content we provide. By visiting, using, or purchasing from this Site, you agree to be legally bound by these Terms. If you do not agree with any part of them, please discontinue use of the Site immediately.

Please also review our Privacy Policy, which explains how we collect, use, and protect your personal information. Together, these documents form the complete agreement between you and Trixon Tech regarding your use of the Site.

1. Acceptance of Terms

By accessing or using this Site, you confirm that you have read, understood, and agree to these Terms, and that you will comply with all applicable local, national, and international laws while doing so.

Trixon Tech may revise, update, or modify these Terms at any time, at its sole discretion. Where changes are significant, we will make reasonable efforts to flag them on this page, but it remains your responsibility to review this page periodically. Continued use of the Site after any update constitutes your acceptance of the revised Terms.

2. Eligibility

By using this Site, you represent that you are at least 18 years of age, or the age of legal majority in your jurisdiction, and that you have the legal capacity to enter into these Terms, including to make purchases. If you are using the Site on behalf of a company or organization, you represent that you have the authority to bind that entity to these Terms.

3. Permitted Use of the Site

You may use this Site for lawful, personal, or business purposes, including:

• Browsing our services, products, projects, and company information
• Requesting quotes, proposals, or getting in touch with our team
• Purchasing products or services offered on the Site
• Submitting job applications or business inquiries
• Leaving feedback, testimonials, or reviews about our work

You agree not to:

• Use the Site for any unlawful, fraudulent, or misleading purpose
• Upload or transmit viruses, malware, or any content designed to disrupt, damage, or gain unauthorized access to our systems
• Attempt to bypass security controls, firewalls, or access restricted areas of the Site without authorization
• Use bots, scrapers, or other automated tools to extract data, content, pricing, or source code from the Site without our prior written permission
• Reverse-engineer, decompile, or attempt to derive the source code of any software or product made available on the Site
• Impersonate any person or entity, or misrepresent your affiliation with Trixon Tech
• Make fraudulent purchases, use stolen payment information, or engage in chargeback abuse
• Violate any applicable law, regulation, or third party’s rights while using the Site

4. Acceptable Use — Additional Restrictions

In addition to Section 3 above, when using the Product you must not:

• Use the Product to make or support automated decisions that have legal or similarly significant effects on an individual (such as decisions about credit, employment, housing, insurance, or access to essential services), unless a qualified human independently reviews the decision, considering factors beyond the Product’s output, before it is finalized.
• Use the Product, in any manner, to make or support decisions relating to payday or similar short-term high-interest lending.
• Use the Product to generate individualized legal, financial, or medical advice, diagnosis, or treatment recommendations that would ordinarily require a licensed professional, except to support a licensed professional’s own independent judgment.
• Use the Product to infer or predict a specific, identifiable individual’s race, ethnicity, religion, political opinions, sexual orientation, disability, health status, or other protected or sensitive characteristic.
• Submit images of individuals to create or analyze biometric identifiers (such as facial geometry, fingerprints, or eye/iris scans) without that person’s lawful consent.
• Use the Product to create or spread deceptive synthetic or manipulated media (including deepfakes) presented as authentic when it is not, or to engage in coordinated inauthentic behavior intended to manipulate public opinion or debate.
• Use the Product to commit plagiarism or academic dishonesty, or to develop, market, advertise, or sell weapons, weapon accessories, or explosives.
• Use the Product to target, generate, or distribute political campaign materials intended for public or semi-public audiences.
• Use the Product for any purpose related to child sexual abuse material (CSAM) or the exploitation of minors — this is strictly and absolutely prohibited, and any such use will be reported to the relevant law enforcement authorities.
• Harvest or collect information about other users of the Product, or systematically scrape, download, or store content, data, or outputs from the Product beyond what is reasonably needed for your own permitted use.
• Represent that content generated using the Product was created entirely by a human when it was not, where doing so would be misleading to a reasonable recipient.
• Use any output generated by the Product to train, develop, or improve a product or service that competes with the Product.

Violation of this Section may result in immediate suspension or termination of your account under Section 8.6 and Section 27, in addition to any other remedies available to Trixon Tech.

5. Content Restrictions

You must not post, upload, transmit, or otherwise make available through the Product any content that:

• Contains a virus, worm, trojan horse, or other code, file, or program that is harmful, invasive, or intended to damage, disrupt, or monitor any hardware, software, or equipment;
• Is unlawful, or promotes, facilitates, or advocates unlawful activity;
• Is threatening, harassing, abusive, violent, inflammatory, hateful, or intimidating, or otherwise fails to respect the rights and dignity of others;
• Is discriminatory on the basis of race, sex, religion, nationality, disability, sexual orientation, or age;
• Is defamatory, libelous, fraudulent, or otherwise tortious;
• Is obscene, indecent, pornographic, or otherwise objectionable;
• Infringes any copyright, trademark, trade secret, right of publicity or privacy, or other proprietary or intellectual property right, without the express consent of the rights holder; or
• Impersonates any person or entity, misrepresents your identity or affiliation, or falsely suggests an association with, or endorsement by, Trixon Tech.

We reserve the right, but not the obligation, to remove any content that violates this Section and to suspend or terminate the account responsible for it.

6. User Accounts

Certain features of the Site, including purchasing products, may require you to create an account. You agree to provide accurate, current, and complete information when registering, and to keep your login credentials confidential. You are responsible for all activity that occurs under your account. Notify us immediately at info@trixontech.io if you suspect any unauthorized use of your account. We reserve the right to suspend or terminate accounts that provide false information or are used in violation of these Terms.

7. Products, Services, and Engagements

Trixon Tech offers a SaaS (Software-as-a-Service) product (“Product”), accessible on a subscription basis, in addition to IT/technology consulting services through this Site.

7.1 Product Listings

We make reasonable efforts to display Product descriptions, features, plans, and pricing accurately. However, we do not warrant that this information is error-free, complete, or current. In the event of a pricing or listing error, we reserve the right to correct it and, where applicable, cancel or adjust any subscription placed based on that error.

7.2 Services and Custom Engagements

Any specific engagement, project, quotation, or scope of work discussed via this Site is for informational purposes only and does not, by itself, create a binding contract. A formal service agreement, statement of work, or contract signed by both parties will govern the actual terms of any custom project we undertake.

8. Subscription, Billing, and Payment

8.1 Subscription Plans

The Product is offered under one or more subscription plans (e.g., monthly or annual), as described on the Site. Placing a subscription order is an offer to purchase, and is confirmed once we send you an order/subscription confirmation.

8.2 Free Trial

We offer a 7-day free trial. It will convert to a paid subscription automatically at the end of the trial period unless you cancel before the trial ends. We reserve the right to modify or withdraw free trial offers at our discretion.

8.3 Auto-Renewal

Subscriptions automatically renew at the end of each billing cycle at the then-current price, unless cancelled before the renewal date through your account settings or by contacting us. You will be charged using your saved payment method at renewal.

8.4 Pricing and Taxes

All prices are listed in the currency shown on the Site and are subject to change; we will provide reasonable notice of price changes before they apply to your next renewal. Applicable taxes (such as GST) will be added at checkout where applicable. Trixon Tech’s GSTIN is 24AANCT2518G1ZD, and a valid GST tax invoice will be issued for each payment.

8.5 Payment

Payments are processed through our third-party payment gateway partners, including Razorpay, PayU, Stripe, and Cashfree. By submitting payment information, you represent that you are authorized to use the chosen payment method. We do not store your full payment card details; these are handled by our PCI-DSS-compliant payment processors. We are not liable for any errors or breaches caused by third-party payment providers.

8.6 Suspension for Non-Payment or Misuse

We may suspend or restrict access to the Product if payment is not successfully collected, after reasonable notice.

Additionally, if we determine, at our sole discretion, that your use of the Product involves any illegal activity, or causes harm to or violates any applicable government law or regulation, we may suspend or terminate your account immediately, at any time, without prior notice or explanation.

In such cases, any payments made, due, or refundable may be held or withheld until the matter has been investigated and resolved to our satisfaction.

We reserve the right to report any suspected illegal activity to law enforcement or relevant government authorities and to cooperate fully with any investigation, including by sharing relevant account information and data.

We may also preserve and retain any relevant data, records, or evidence for as long as reasonably necessary for this purpose, notwithstanding Section 13.5.

Trixon Tech shall not be liable for any loss, damage, or inconvenience arising from such suspension, withholding of payment, or termination.

Where an account is terminated for illegal activity or violation of law, no refund of any amount already paid, held, or withheld will be made, and this action is without prejudice to any other rights or remedies available to Trixon Tech under these Terms or applicable law.

8.7 Cancellation

You may cancel your subscription at any time through your account settings; cancellation takes effect at the end of the current billing cycle, and you will retain access until then.

9. Refunds

All payments made for the Product are non-refundable, except as expressly set out in our separate Refund & Cancellation Policy, available on the Site, which forms part of these Terms, or as required by applicable consumer protection law.

10. Product Availability and Service Levels

We aim to keep the Product available and operational at all times but do not guarantee uninterrupted or error-free access. Planned maintenance, updates, or circumstances beyond our control may result in temporary downtime. Any specific uptime commitments or service levels will be set out in a separate Service Level Agreement (SLA), where applicable, particularly for enterprise or paid-plan customers.

11. Modifications to the Product

We may add, change, update, or discontinue any feature, functionality, or plan of the Product at any time, with or without notice, to improve performance, security, or usability. We will make reasonable efforts to inform paying customers in advance of any change that materially reduces core functionality they are actively paying for.

12. Beta and Early Access Features

From time to time, we may offer experimental, beta, or early-access features. These are provided “as is,” may be modified or withdrawn at any time without notice, may not work as intended, and are not covered by any support or availability commitments described elsewhere in these Terms, unless expressly stated.

13. Your Data

13.1 Ownership

As between you and Trixon Tech, you retain ownership of the data, content, and files you upload to or generate using the Product (“Customer Data”). We do not claim ownership over your Customer Data.

13.2 Our Use

We use Customer Data solely to provide, maintain, secure, and improve the Product, and as otherwise described in our Privacy Policy. We do not sell your Customer Data.

13.3 Security

We implement reasonable technical and organizational measures to protect Customer Data, but no system is completely secure, and we cannot guarantee absolute security.

13.4 Backups and Export

You are responsible for maintaining your own backups of critical Customer Data where practicable. You may export your Customer Data from the Product while your subscription is active, using the export tools we provide.

13.5 Data After Termination

Following cancellation or termination of your subscription, we may retain Customer Data for a limited period (as described in Section 8 of our Privacy Policy or communicated separately) to allow for reactivation or as required by law, after which it may be permanently deleted. We recommend exporting any data you wish to keep before cancelling.

14. Intellectual Property Rights

All content on this Site — including text, graphics, logos, icons, images, design elements, source code, software, videos, case studies, and other materials — is the intellectual property of Trixon Tech or its licensors, and is protected under applicable copyright, trademark, trade dress, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and view Site content for personal or internal business reference, and, where you purchase the Product, to use it strictly under its accompanying license/subscription terms. You may not copy, reproduce, modify, republish, upload, transmit, distribute, resell, or create derivative works from any part of the Site or the Product without our prior written consent. You may not remove, obscure, or alter any copyright, trademark, or other proprietary rights notice appearing on the Site or Product, and you may not frame, mirror, or otherwise embed any portion of the Site or Product within another website, product, or service without our prior written consent. Nothing in these Terms transfers any ownership rights in our intellectual property to you.

Any trademarks, logos, or brand names of third parties appearing on the Site belong to their respective owners and are used for identification purposes only.

15. Content You Submit

If you submit comments, feedback, testimonials, reviews, job applications, or other material through the Site (“User Submissions”), you grant Trixon Tech a non-exclusive, worldwide, royalty-free, sub-licensable license to use, reproduce, modify, publish, and display that content in connection with operating, improving, and promoting our services. This does not apply to Customer Data, which is addressed separately in Section 13.

You are solely responsible for ensuring that anything you submit is accurate, lawful, and does not infringe on the rights (including intellectual property and privacy rights) of any third party. We reserve the right, but not the obligation, to review, edit, refuse, or remove any User Submission that we consider inappropriate, offensive, inaccurate, or in breach of these Terms, at our sole discretion and without notice.

16. Third-Party Links and Integrations

The Site or Product may contain links to, or integrations with, third-party websites, tools, payment gateways, or services for your convenience. These do not imply any endorsement, affiliation, or responsibility on our part for the content, accuracy, security, or practices of those third parties. Where you connect a third-party service to the Product, that connection is governed by the third party’s own terms, and we are not responsible for how that third party handles your data. We encourage you to review the terms and privacy policies of any third-party service you use. Trixon Tech is not liable for any loss or damage arising from your use of, or reliance on, third-party sites, tools, or services.

17. Privacy and Cookies

Your use of the Site is also governed by our Privacy Policy, which explains what personal data we collect, how we use and store it, and the choices available to you. The Site may use cookies and similar tracking technologies to improve functionality, analyze usage, and personalize your experience. Where required by applicable law, we will ask for your consent before setting non-essential cookies, and you may manage your cookie preferences through the cookie banner on the Site or your browser settings. By continuing to use the Site, you acknowledge our use of essential cookies as described in our Privacy Policy.

18. Marketing Communications

By providing your email or phone number, including at checkout, you may receive order-related communications, and, if you opt in, marketing communications such as newsletters or promotional offers. You may unsubscribe from marketing communications at any time using the link provided in such messages, or by contacting us.

19. Electronic Communications

By using the Site and Product, you consent to receive communications from us electronically, including notices, updates, invoices, and disclosures. You agree that any such electronic communication satisfies any legal requirement that such communication be in writing, to the extent permitted by applicable law.

20. No Professional Advice

Any content, blog posts, guides, or technical articles published on the Site are provided for general informational purposes only and do not constitute legal, financial, technical, or professional advice. You should seek independent professional advice before making decisions based on such content.

21. Disclaimer of Warranties

The Site and its content, including any products or services described on it, are provided on an “as is” and “as available” basis, without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, or accuracy. Trixon Tech does not warrant that the Site will be uninterrupted, error-free, secure, or free of viruses or other harmful components, and makes no guarantee regarding the completeness, reliability, or currency of any information published on it.

22. Limitation of Liability

To the fullest extent permitted by applicable law, Trixon Tech, its directors, employees, agents, and affiliates shall not be liable for any direct, indirect, incidental, special, punitive, or consequential damages — including loss of profits, data, business, or goodwill — arising out of or in connection with your access to, use of, or inability to use the Site or Product, even if we have been advised of the possibility of such damages. Where liability cannot be excluded under applicable law, our total liability shall be limited to the amount you paid us in the 12 months preceding the claim. Nothing in these Terms limits liability that cannot be excluded or limited under applicable law, including liability for fraud or gross negligence.

23. Indemnification

You agree to indemnify, defend, and hold harmless Trixon Tech, its officers, directors, employees, agents, and affiliates from and against any claims, losses, liabilities, damages, or expenses (including reasonable legal fees) arising out of or in connection with: (a) your use or misuse of the Site or Product; (b) your violation of these Terms; (c) your User Submissions or Customer Data; or (d) your infringement of any third party’s rights.

24. Confidentiality

Where you share confidential business, technical, or project information with us in connection with a service engagement, we will use reasonable care to protect that information and use it solely for the purpose of delivering the relevant services, subject to the terms of any separate non-disclosure or service agreement entered into between the parties.

25. Force Majeure

Trixon Tech shall not be held responsible for any delay or failure in performance, delivery, or provision of the Site, Product, or services resulting from causes beyond our reasonable control, including but not limited to natural disasters, internet or telecommunications outages, government action, labor disputes, or other events of force majeure.

26. No Agency or Partnership

Nothing in these Terms creates any agency, partnership, joint venture, or employment relationship between you and Trixon Tech. Neither party has the authority to bind the other in any way.

27. Termination of Access

Trixon Tech reserves the right to suspend, restrict, or terminate your access to the Site, Product, or your account at any time, without prior notice, for any reason, including but not limited to a violation of these Terms, suspected unlawful conduct or fraud, or misuse of the Site or Product. Upon termination, you must immediately cease all use of the Site and Product, though any subscription already confirmed will still be honored unless cancelled under Section 8.7. Provisions that by their nature should survive termination (including Sections 13, 14, 15, 21, 22, 23, 24, and 30) will continue to apply.

28. Export Control and Compliance

Our Product and related technology may be subject to export control laws. You agree not to export, re-export, or transfer the Product in violation of applicable export control or trade sanctions laws, and represent that you are not located in, or a resident of, any country subject to a comprehensive trade embargo, and are not on any restricted party list.

29. Copyright Infringement Notices

If you believe that content on the Site or within the Product infringes your copyright, please contact us at info@trixontech.io with: (a) a description of the copyrighted work you claim has been infringed; (b) the location of the allegedly infringing material; (c) your contact information; and (d) a statement that you have a good-faith belief the use is unauthorized. We will investigate and, where appropriate, remove or disable access to the infringing material.

30. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of Gujarat, India, without regard to its conflict of laws principles. Any dispute, controversy, or claim arising out of or relating to these Terms, the Site, or any purchase made through it shall first be attempted to be resolved amicably through good-faith negotiation. If unresolved within 30 days, the dispute shall be subject to the exclusive jurisdiction of the competent courts located in Surat, Gujarat, India, and you consent to the personal jurisdiction of such courts. This does not affect any non-waivable statutory rights you may have as a consumer in your jurisdiction.

31. Notices

Any legal notices to Trixon Tech should be sent in writing to the email address in Section 33. We may send notices to you via the email address associated with your account or order, or by posting a notice on the Site.

32. Assignment, Waiver, Entire Agreement, Severability, and Headings

You may not assign or transfer any of your rights or obligations under these Terms without our prior written consent. Trixon Tech may assign these Terms, in whole or in part, including in connection with a merger, acquisition, or sale of assets. Our failure to enforce any right or provision shall not be considered a waiver, and any waiver must be in writing and signed by an authorized representative of Trixon Tech to be effective. These Terms, together with our Privacy Policy, Refund & Cancellation Policy, Terms of Service, and any signed service agreements or product-specific license terms, constitute the entire agreement between you and Trixon Tech, and supersede any prior agreements or understandings, whether written or oral. If any provision of these Terms is found unlawful, void, or unenforceable, that provision will be severed, and the remaining provisions will continue in full force and effect. Section headings are for convenience only and do not affect interpretation of these Terms.
