Terms of Service — Trixon Tech Private Limited

These Terms of Service (“Terms of Service”) are a legally binding agreement between you and Trixon Tech Private Limited (“Trixon Tech,” “we,” “us,” or “our”). They govern your access to and use of the Trixon Tech Software-as-a-Service product, including its features, updates, support, and related documentation (the “Product”). By creating an account, starting a free trial, subscribing, clicking “I Accept” or a similar button, or otherwise using the Product, you agree to these Terms of Service. If you do not agree, do not use the Product.

If you are using the Product on behalf of a company or organization, you represent that you have the authority to bind that entity, and “you” includes both you and that entity.

How these documents fit together. These Terms of Service apply together with our Terms of Use (which govern the Site and general matters), our Privacy Policy, and our Refund & Cancellation Policy. If there is a conflict: (a) a separate signed enterprise or service agreement with Trixon Tech prevails over these Terms of Service; (b) for your use of the Product, these Terms of Service prevail over the Terms of Use; (c) the Refund & Cancellation Policy governs refunds and cancellations; and (d) the Privacy Policy governs how we handle personal data.

1. Definitions

• “Account” means the account you register to access the Product.
• “Authorized Users” means the individuals you permit to use the Product under your Account, such as your employees, contractors, or team members.
• “Customer Data” means the data, content, and files you or your Authorized Users upload to, submit to, or generate using the Product, including Inputs and Outputs.
• “Input” means the prompts, instructions, files, and other material you submit to the Product, and “Output” means the results the Product generates or returns based on your Input.
• “Plan” means the subscription plan you choose (for example, monthly or annual), including its features, usage limits, and price, as described on the Site or in your order.

2. Eligibility and Organizations

You must be at least 18 years old, or the age of legal majority where you live, and have the legal capacity to enter into these Terms of Service. You are responsible for all activity of your Authorized Users and for making sure they comply with these Terms of Service and the Policies referred to above. Any act or omission of an Authorized User is treated as yours.

3. Accounts and Security

You must provide accurate, current, and complete information when you register, and keep it up to date. Your login credentials are for your own use and must be kept confidential; you must not share them or allow others to use your Account except through the Authorized User features we provide. You are responsible for all activity under your Account. Notify us immediately at info@trixontech.io if you suspect unauthorized access or a security breach. We may reject or require you to change any username or credentials, and may suspend Accounts that provide false information.

4. Right to Use the Product

Subject to these Terms of Service and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable right to access and use the Product during your subscription or trial period, for your internal business or personal purposes, in accordance with your Plan. All rights not expressly granted are reserved by Trixon Tech.

Except as expressly permitted in writing by Trixon Tech, you must not:

• Resell, sublicense, lease, rent, or otherwise make the Product available to third parties, or use it to provide a service bureau or competing service;
• Embed, white-label, or incorporate the Product into another product or service;
• Copy, modify, or create derivative works of the Product, or reverse-engineer, decompile, or attempt to derive its source code, models, or underlying technology;
• Access the Product to build a competing product or service, or use Output to train, develop, or improve a product or service that competes with the Product;
• Circumvent, disable, or tamper with usage limits, access controls, or security features; or
• Share Account credentials or exceed the number of users permitted under your Plan.

5. Plans, Usage Limits, and Fair Use

Your Plan may include limits on features, users, storage, or usage volume. You must stay within those limits. We may apply reasonable technical limits (such as rate limits) to protect the stability and security of the Product, and may restrict or suspend usage that is excessive, abusive, or harms other users. If you need higher limits, you may upgrade your Plan, subject to Section 6.

6. Fees, Free Trial, Billing, and Taxes

6.1 Fees and Auto-Renewal

You agree to pay the fees for your Plan. Subscriptions renew automatically at the end of each billing cycle at the then-current price unless you cancel before the renewal date (see Section 16). Where required under applicable Reserve Bank of India rules on recurring payments, we will send you advance notice before debiting your saved payment method for a renewal. We may change our prices, and will give reasonable notice before a change applies to your next renewal.

6.2 Free Trial

We offer a 7-day free trial. You may cancel at any time during the trial without charge. If you do not cancel before the trial ends, your subscription converts automatically to a paid Plan and the payment is charged. The free trial is limited to one trial per customer, company, or organization, and we may block or convert duplicate trial sign-ups. We may modify or withdraw free trial offers at our discretion.

6.3 Payment and Taxes

Payments are processed by our third-party payment gateway partners, including Razorpay, PayU, Stripe, and Cashfree, and are also subject to those providers’ terms. You confirm you are authorized to use the payment method you provide. Fees are exclusive of applicable taxes, including GST, which will be added at checkout and charged in addition to the listed fee. Trixon Tech Private Limited’s GSTIN is 24AANCT2518G1ZD, and a valid GST tax invoice will be issued for each payment. You are responsible for any other taxes that apply to you and are not collected by us.

6.4 Refunds

All fees are non-refundable except as expressly provided in our Refund & Cancellation Policy or as required by applicable consumer protection law. If a payment fails, we may retry the charge and, after reasonable notice, suspend your access until payment is received; you remain responsible for any uncollected amounts.

6.5 Chargebacks

If you dispute a legitimate charge with your bank or card issuer instead of contacting us first, we may suspend or terminate your Account while the matter is investigated, as described in the Refund & Cancellation Policy.

7. Customer Data and Inputs

Ownership. As between you and Trixon Tech, you retain all ownership rights in your Customer Data. We do not claim ownership of it.

Our use. You grant us a limited, non-exclusive, worldwide, royalty-free license to host, store, process, transmit, and display Customer Data as needed to provide, maintain, support, secure, and improve the Product, to comply with law, and as otherwise described in our Privacy Policy and Section 13 of the Terms of Use. We do not sell your Customer Data. We may also use aggregated or de-identified usage information that does not identify you or your Customer Data to operate and improve the Product.

Your responsibilities. You are responsible for your Customer Data, including its accuracy and legality. You confirm that you have all rights, permissions, notices, and consents needed to submit it to the Product and to allow us to process it as described in these Terms of Service, and that it does not infringe any third party’s rights or violate any law. If your Customer Data includes personal data about other people, you are responsible for having a lawful basis and any required consents to share it with us. You should keep your own backups of critical Customer Data, and may export it while your subscription is active using the tools we provide.

8. Outputs and Automated Features

To the extent permitted by law, you may use Output generated from your Input for your business or personal purposes, and we do not claim ownership of your Output. We retain all rights in the Product and its underlying technology. Because of the nature of the Product, Output may not be unique, and similar Output may be generated for other users.

The Product uses artificial intelligence, machine learning, and other automated processing, and Output is generated by such systems, including models provided by third parties. Output may be inaccurate, incomplete, or inappropriate. You are responsible for reviewing Output for accuracy and suitability before you rely on it, including by using human review where appropriate. You must not treat Output as a substitute for professional legal, financial, medical, or other expert advice, and you must not use Output to make decisions that have legal or similarly significant effects on an individual without independent human review, as set out in Section 4 of the Terms of Use. We do not guarantee that Output will be free of third-party rights, and you are responsible for how you use and distribute it.

If the Product includes features that take actions automatically or semi-automatically on your instructions, you are responsible for configuring, monitoring, and supervising them, and, to the extent permitted by law, for the actions you authorize them to take.

9. Acceptable Use

You and your Authorized Users must use the Product lawfully and comply with Sections 3, 4, and 5 of the Terms of Use, which set out permitted use, additional restrictions, and content restrictions and apply to the Product as if set out in full here. You must also not: (a) interfere with or disrupt the Product or its infrastructure; (b) probe, scan, or test the vulnerability of the Product, or attempt unauthorized access, without our prior written permission; (c) upload malicious code; or (d) use the Product in violation of applicable law or third-party rights. We may investigate suspected violations and may suspend or terminate access as described in Section 16. We may (but have no obligation to) monitor and review Inputs, Outputs, and usage where reasonably needed to operate and secure the Product, prevent abuse, and enforce these Terms of Service, in accordance with our Privacy Policy.

10. Third-Party Services and Integrations

The Product may work with or link to third-party services, tools, AI model providers, and payment gateways. When you connect a third-party service, you direct us to exchange data with it, and that connection is also governed by the third party’s own terms and privacy policy. We do not control, endorse, or take responsibility for third-party services, and we are not liable for loss or damage arising from your use of them, as further described in Section 16 of the Terms of Use.

11. Support, Availability, and Service Levels

We provide support by email at info@trixontech.io and aim to respond to billing issues within 7 business days, as described in the Refund & Cancellation Policy. We aim to keep the Product available but do not guarantee uninterrupted or error-free access; planned maintenance, updates, or events beyond our control may cause downtime. Specific uptime commitments, if any, will be set out in a separate Service Level Agreement. Your remedies for extended outages are described in Section 6 of the Refund & Cancellation Policy.

12. Updates, Changes, and Beta Features

We may add, change, update, or discontinue features, functionality, or Plans from time to time to improve performance, security, or usability, and will make reasonable efforts to inform paying customers in advance of any change that materially reduces core functionality they are actively paying for. We may offer beta, early-access, or experimental features, which are provided “as is,” may change or be withdrawn at any time, and are not covered by any support or availability commitments, unless expressly stated.

13. Intellectual Property and Feedback

As between you and Trixon Tech, we and our licensors own all rights, title, and interest in the Product, including its software, models, algorithms, design, documentation, trademarks, and logos, and all improvements to them. Nothing in these Terms of Service transfers any of those rights to you. You must not remove or alter any proprietary notices.

If you give us ideas, suggestions, or other feedback about the Product (“Feedback”), you grant Trixon Tech a non-exclusive, worldwide, perpetual, irrevocable, royalty-free, sublicensable license to use it for any purpose without obligation to you. Feedback does not include your Customer Data.

14. Confidentiality

Each party may receive non-public information from the other that is marked confidential or that a reasonable person would understand to be confidential, including, for us, non-public aspects of the Product and, for you, your Customer Data (“Confidential Information”). The receiving party must use Confidential Information only to perform its obligations or exercise its rights under these Terms of Service, protect it with at least reasonable care, and not disclose it to third parties other than personnel, advisers, and service providers who need to know it and are bound by confidentiality duties. These duties do not apply to information that is or becomes public without breach, was already known to the receiving party, is independently developed, is lawfully received from a third party, or must be disclosed by law or a court or authority (in which case, where lawful, the receiving party will give prompt notice).

15. Data Protection and Security

Our handling of personal data is described in our Privacy Policy. For personal data contained in your Customer Data, you act as the controller (in India, the “Data Fiduciary”) and we act as your processor, processing it on your instructions as given through your use of the Product and these Terms of Service. We use service providers, including hosting and artificial intelligence model providers, to deliver the Product, and we seek to bind them to confidentiality and security obligations. Your data may be processed in India or in other countries, as described in the Privacy Policy. We use reasonable technical and organizational measures to protect Customer Data, and will notify you without undue delay after we become aware of a personal data breach affecting your Customer Data, in line with applicable law. 16. Term, Cancellation, Suspension, and Termination

Term. These Terms of Service apply from when you first use the Product until your subscription or account ends.

Cancellation by you. You may cancel auto-renewal at any time from your account settings or by emailing info@trixontech.io. Cancellation stops future billing and takes effect at the end of the period you have already paid for, during which you keep access. Cancellation does not entitle you to a refund, as set out in the Refund & Cancellation Policy.

Suspension and termination by us. We may suspend or terminate your access as described in Sections 8.6 and 27 of the Terms of Use, including for non-payment after reasonable notice, violation of these Terms of Service or the Policies, suspected fraud or illegal activity, or misuse of the Product. Where we terminate for illegal activity or a violation of law, no refund will be made, consistent with Section 8.6 of the Terms of Use.

Effect of termination. When your access ends, your right to use the Product ends, and fees already accrued remain payable. We may retain Customer Data for a limited period as described in Section 13.5 of the Terms of Use and Section 8 of the Privacy Policy, after which it is deleted or anonymized. We recommend exporting any data you wish to keep before you cancel. Provisions that by their nature should continue after termination will continue to apply, including Sections 6 (for accrued fees), 7, 8, 13, 14, 17, 18, 19, and 23.

17. Disclaimer of Warranties

To the fullest extent permitted by applicable law, the Product, including any beta features, Output, and third-party services, is provided on an “as is” and “as available” basis, without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy. We do not warrant that the Product will be uninterrupted, error-free, or secure, that Output will be accurate or complete, or that the Product will meet your particular requirements.

18. Limitation of Liability

To the fullest extent permitted by applicable law, Trixon Tech, its directors, employees, agents, and affiliates will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, revenue, data, business, or goodwill, arising out of or in connection with these Terms of Service or your use of, or inability to use, the Product, even if advised of the possibility of such damages. Our total aggregate liability arising out of or relating to these Terms of Service or the Product will not exceed the amount you paid us for the Product in the 12 months preceding the event giving rise to the claim. Nothing in these Terms of Service limits liability that cannot be excluded or limited under applicable law, including liability for fraud or gross negligence.

19. Indemnification

You agree to indemnify, defend, and hold harmless Trixon Tech, its officers, directors, employees, agents, and affiliates from and against any claims, losses, liabilities, damages, or expenses (including reasonable legal fees) arising out of or in connection with: (a) your Customer Data or your use of the Product, including any Output you use or distribute; (b) your violation of these Terms of Service or the Policies; (c) your violation of applicable law; or (d) your infringement of any third party’s rights.

20. Force Majeure

Neither party is responsible for any delay or failure in performance (other than payment obligations) caused by events beyond its reasonable control, including natural disasters, internet or telecommunications outages, failures of third-party infrastructure, government action, labor disputes, or other events of force majeure.

21. Export Controls and Sanctions

The Product may be subject to export control and trade sanctions laws. You agree not to export, re-export, or transfer the Product in violation of applicable law, and you represent that you are not located in, or a resident of, any country subject to a comprehensive trade embargo, and are not on any restricted party list.

22. Electronic Contract and Notices

These Terms of Service are an electronic record under the Information Technology Act, 2000, and the rules made under it, and are generated by a computer system; no physical or digital signature is required. You consent to receive notices, invoices, and other communications electronically, and agree that electronic communications satisfy any legal requirement that they be in writing, to the extent permitted by law. We may give you notice by email to the address associated with your Account, by posting in the Product, or on the Site. Legal notices to us must be sent in writing to the email address in Section 26.

23. Governing Law and Dispute Resolution

These Terms of Service are governed by the laws of Gujarat, India, without regard to its conflict of laws principles. Any dispute, controversy, or claim arising out of or relating to these Terms of Service or the Product must first be attempted to be resolved amicably through good-faith negotiation. If unresolved within 30 days, the dispute will be subject to the exclusive jurisdiction of the competent courts located in Surat, Gujarat, India, and you consent to the personal jurisdiction of those courts. This does not affect any non-waivable statutory rights you may have as a consumer in your jurisdiction, and nothing in these Terms of Service limits any non-waivable refund, cancellation, or other consumer rights under applicable law.

24. Changes to These Terms of Service

We may update these Terms of Service from time to time. The updated version will be posted on the Site with a revised “Last updated” date. For material changes, we will make reasonable efforts to notify you, for example by email or a notice in the Product. Changes do not apply to disputes that arose before the change took effect. Your continued use of the Product after an update takes effect constitutes your acceptance of the updated Terms of Service, to the extent permitted by law. If you do not agree, you must stop using the Product and cancel your subscription.

25. General

You may not assign or transfer any of your rights or obligations under these Terms of Service without our prior written consent. We may assign these Terms of Service, including in connection with a merger, acquisition, or sale of assets. Nothing in these Terms of Service creates any partnership, joint venture, agency, or employment relationship between you and Trixon Tech. Our failure to enforce any provision is not a waiver, and any waiver must be in writing and signed by an authorized representative of Trixon Tech. If any provision is found unlawful, void, or unenforceable, it will be severed, and the remaining provisions will continue in full force and effect. Headings are for convenience only. These Terms of Service, together with the Terms of Use, Privacy Policy, Refund & Cancellation Policy, and any signed service agreements, are the entire agreement between you and Trixon Tech regarding the Product and supersede any prior understandings on that subject.
